Following the principle in Re Duomatic Ltd (1969) 2 Ch 365, the informal approval of a director as sole shareholder of a company, to a transaction involving the purchase of assets from a third party connected with that director, was sufficient to satisfy the requirement of approval under the Companies Act 1985 s.320 despite the absence of a formal resolution.
